1. Acceptance of Terms

By accessing or using KwataDocs ("the Service"), operated by Kwata Team ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

We reserve the right to modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the modified terms.

2. Description of Service

KwataDocs is an invoice management platform that allows users to upload, process, organize, and export invoice documents. The Service includes automated data extraction and organization features.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Registration

To use the Service, you must create an account using a valid authentication method. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

We reserve the right to terminate accounts that violate these terms or remain inactive for extended periods.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that infringes on intellectual property rights
• Attempt to gain unauthorized access to our systems
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Service
• Use automated systems to access the Service without permission
• Impersonate another person or entity
• Upload fraudulent, falsified, or misleading documents

5. User Content

You retain ownership of all content you upload to the Service ("User Content"). By uploading content, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service.

You represent and warrant that you have the right to upload all content and that your content does not violate any laws or third-party rights.

We do not claim ownership of your invoices or extracted data. Your business information remains yours.

6. Service Limitations and Accuracy

THE SERVICE IS PROVIDED FOR ORGANIZATIONAL PURPOSES ONLY. While we strive for accuracy in data extraction:

• Automated extraction may contain errors
• You are responsible for verifying all extracted data
• The Service does not constitute accounting, tax, or legal advice
• You should consult qualified professionals for financial decisions

We are not responsible for any decisions made based on data processed by our Service. You assume full responsibility for verifying the accuracy of all information.

7. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing:

• You authorize us to charge your payment method on a recurring basis
• Subscriptions renew automatically unless cancelled
• Cancellation takes effect at the end of the current billing period
• Refunds are provided at our sole discretion

We reserve the right to change pricing with 30 days notice to existing subscribers.

8. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by Kwata Team and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy, completeness, or reliability of any data extraction or processing.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KWATA TEAM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Errors in data extraction or processing
• Tax penalties or financial losses
• Any other intangible losses

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kwata Team and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service ceases immediately
• You may request export of your data within 30 days
• We may delete your data after the 30-day period

13. Governing Law and Disputes

These Terms shall be governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Alberta, Canada.

Before initiating legal proceedings, you agree to attempt to resolve disputes through good-faith negotiation by contacting us at legal@kwatateam.com.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and Security Policy, constitute the entire agreement between you and Kwata Team regarding the Service.
